Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Hangout (“Hangout”, “we”, “us”) and govern your use of the Hangout mobile apps, myhangout.xyz, and related services (together, the “Service”). Please read them carefully, they include an arbitration agreement and class-action waiver in Section 16 that affect your legal rights. This is a starting template and should be reviewed with legal counsel before launch.
1. Acceptance of these Terms
By creating an account, accessing, or using the Service, you agree to these Terms, our Privacy Policy, Community Guidelines, and Cookie Policy, which are incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms.
2. Eligibility
You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service, and at least 18 to host a hangout. By using the Service you represent that you meet these requirements, that you are not barred from using it under applicable law, and that the information you provide is accurate.
3. Your account and verification
You sign in with your phone number, and we send a one-time verification code by SMS. You are responsible for all activity under your account and for the security of your device and number. Notify us immediately of any unauthorized use.
4. Text messages and notifications
By providing your phone number you consent to receive service messages (including verification codes and account notices) by SMS. Message and data rates may apply, and message frequency varies. You can manage notification preferences in Settings; standard carrier opt-out keywords apply to SMS.
5. Acceptable use
You agree not to use the Service to: post unlawful, harassing, hateful, deceptive, or sexually exploitative content; threaten or endanger anyone; spam, scrape, or artificially inflate engagement; impersonate others or misrepresent a hangout; infringe intellectual property; or interfere with, probe, or reverse-engineer the Service or its security. The detailed rules are in our Community Guidelines.
6. User content and licence
You retain ownership of the content you create (“User Content”). You grant Hangout a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, reproduce, modify (for formatting), publish, and distribute your User Content to operate, promote, and improve the Service and consistent with the openness settings you choose. You represent that you have all rights necessary to grant this licence. We may remove content that violates these Terms.
7. Feedback
If you send us ideas or suggestions, you grant us an unrestricted, perpetual, royalty-free licence to use them without obligation to you.
8. Hosting and attending hangouts
The Service helps people organize and attend real-world meetups. We do not organize, host, vet, supervise, insure, or endorse any hangout or user. You are solely responsible for your conduct, safety, and compliance with the law when you host or attend, and for any interactions with other users. See our Safety guidance.
9. Intellectual property
The Service, including its software, design, logos, and trademarks, is owned by Hangout or its licensors and protected by intellectual-property laws. Except for your User Content and as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Service.
10. Copyright and DMCA
We respond to notices of alleged copyright infringement under the DMCA and similar laws. If you believe content on the Service infringes your copyright, send a notice with the required details (identification of the work, the material, your contact information, a good-faith statement, and your signature) to our designated agent at legal@myhangout.xyz. We may remove infringing content and terminate repeat infringers.
11. Third-party services
The Service integrates third parties (for example, the Apple App Store, Google Play, maps, and SMS providers). We are not responsible for third-party services, content, or websites, and their terms govern their parts.
12. App stores (Apple and Google)
If you download the app from the Apple App Store or Google Play, your use is also subject to that store’s terms. These Terms are between you and Hangout, not Apple or Google. Apple and Google are not responsible for the app or its support, maintenance, warranties, or any claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. You represent that you are not located in an embargoed country or on a prohibited-party list.
13. Indemnification
You agree to indemnify, defend, and hold harmless Hangout and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, your conduct at any hangout, or your violation of these Terms or the rights of others.
14. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any user or hangout is safe or suitable.
15. Limitation of liability
To the maximum extent permitted by law, Hangout will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, or for the conduct of other users or anything that occurs at a hangout. Our aggregate liability for any claim is limited to the greater of the amount you paid us in the six months before the claim or USD 100.
16. Dispute resolution and arbitration
Please read this carefully, it affects your rights. Except where prohibited by law, you and Hangout agree to resolve any dispute through final and binding individual arbitration rather than in court, and you each waive the right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by emailing legal@myhangout.xyz within 30 days of first accepting these Terms. Either party may bring an individual claim in small-claims court. The arbitration will be conducted by a recognized arbitration provider under its consumer rules.
17. Termination
You may delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or create risk or legal exposure for Hangout or the community. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.
18. Disputes between users
Hangout is not responsible for, and has no duty to mediate, disputes or interactions between users, whether online or in person. Use good judgment and our reporting and blocking tools.
19. Changes to the Service and Terms
We may modify or discontinue features at any time. We may update these Terms; if changes are material, we will provide reasonable notice (for example, in-app or by updating the date above). Continued use after changes take effect means you accept the updated Terms.
20. Purchases, subscriptions, and virtual items
The Service is currently free. If we introduce paid features, additional terms (including pricing, billing, renewals, and refunds) will be presented before you buy. Purchases made through the Apple App Store or Google Play are processed and refunded by that store under its terms. Any virtual items, credits, or rewards have no monetary value, are non-transferable, and are licensed to you, not sold.
21. Beta and pre-release features
We may offer beta, preview, or experimental features. They are provided “as is,” may be changed or removed at any time, may be less reliable, and may be subject to additional terms. Your use of them is at your own risk.
22. Promotions and referrals
We may run promotions, contests, or referral programs with their own rules, which form part of these Terms. We may modify or end them at any time and may disqualify anyone who tampers with or abuses them.
23. Accessibility
We want everyone to be able to use Hangout. If you have difficulty using the Service with assistive technology, contact us and we will try to help and to improve.
24. Export controls and sanctions
You may not use or export the Service in violation of applicable export-control or sanctions laws. You represent that you are not located in an embargoed jurisdiction and are not on any government restricted-party list.
25. General
These Terms are governed by the laws of the jurisdiction in which Hangout is established, without regard to conflict-of-laws rules. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them. These Terms, with the policies referenced above, are the entire agreement between you and us regarding the Service. We are not liable for delays or failures caused by events beyond our reasonable control. You consent to receive communications from us electronically.
